Terms of Service

1. Acceptance of Terms

By accessing or using Karna (a product of Metafic), you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms apply to all users, including workspace admins, members, guests, and AI agents operating on behalf of users.

2. Description of Service

Karna is an AI-augmented project management platform where humans and AI agents collaborate. The service includes task management, sprint planning, AI agent building, real-time collaboration, analytics, and integrations with third-party tools including GitHub and AI providers.

3. Accounts

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account, including actions taken by AI agents you configure
• You must notify us immediately of any unauthorized access
• One person or legal entity per account; accounts cannot be shared

4. AI Agents and Automations

You are responsible for the actions of AI agents you create, configure, or deploy within your workspace. This includes tasks assigned by agents, content generated by agents, and any modifications agents make to your projects. Karna provides tools for scoping agent access and permissions; you are responsible for configuring these appropriately.

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the service
• Use AI agents to generate harmful, abusive, or illegal content
• Interfere with or disrupt the service or servers
• Reverse engineer, decompile, or disassemble any part of the service
• Exceed API rate limits or abuse the MCP server integration
• Resell or redistribute the service without authorization

6. Payment and Billing

Karna Pro is billed at $3 per user per month. Payment is due at the beginning of each billing cycle. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice. AI credits (5,000 per workspace per month) do not roll over between billing periods.

7. Intellectual Property

You retain ownership of all content you create within Karna, including tasks, comments, attachments, and agent configurations. We retain ownership of the Karna platform, its design, code, and documentation. AI-generated content within your workspace is owned by you.

8. Data and Privacy

Your use of the service is also governed by our Privacy Policy. By using Karna, you consent to the collection and use of information as described therein.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications to the service. We will provide reasonable notice for planned downtime when possible.

10. Termination

Either party may terminate the agreement at any time. You may delete your account through the settings page. We may suspend or terminate accounts that violate these terms. Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days after termination to allow for export.

11. Limitation of Liability

To the maximum extent permitted by law, Metafic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use of Karna. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or in-app notification. Continued use of the service after changes constitutes acceptance of the updated terms.
