1. Acceptance of Terms

By accessing or using Karna ("the Service"), operated by Metafic ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Karna is an AI-first project management platform designed to help teams plan, track, and deliver work more effectively. The Service includes, but is not limited to:

• AI-powered agents that assist with task creation, prioritization, sprint planning, and workflow automation
• Six distinct view types for managing work: List, Board, Table, Gantt, Calendar, and Workload views
• GitHub integration for linking commits, pull requests, and branches to tasks
• Real-time collaboration features including comments, notifications, and WebSocket-based live updates
• Workspace and project management with role-based access control
• Sprint management, custom fields, analytics dashboards, and reporting

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the accuracy of your account information at all times
• Safeguarding your password and any credentials used to access your account
• All activities that occur under your account, whether or not you have authorized them
• Notifying us immediately of any unauthorized use of your account or any other security breach

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

4. Acceptable Use

You agree not to use the Service in any manner that:

• Violates any applicable local, national, or international law or regulation
• Infringes upon the rights of others, including intellectual property rights
• Attempts to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Introduces viruses, malware, or any other harmful code into the Service
• Attempts to gain unauthorized access to other users' accounts, data, or any part of the Service infrastructure
• Uses the Service to send spam, unsolicited communications, or misleading content
• Interferes with or disrupts the integrity or performance of the Service
• Uses automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable usage, unless explicitly authorized through our API

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. AI Agents & Automation

Karna provides AI-powered agents that can perform actions within your workspace, including creating and updating tasks, generating reports, managing sprints, and automating workflows. By using these features, you acknowledge and agree that:

• You are responsible for all actions taken by AI agents operating within your workspace, including any changes made to tasks, projects, or data
• AI agents operate within the permission scope granted by the workspace administrator. It is your responsibility to configure agent permissions appropriately
• AI-generated content, suggestions, and actions are provided on an "as-is" basis and may not always be accurate or appropriate. You should review agent outputs before relying on them for critical decisions
• We may update, modify, or improve AI agent capabilities over time, which may change the behavior of existing agents
• AI agents process workspace data to provide their functionality. This processing is governed by our Privacy Policy

6. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and shall remain the exclusive property of Metafic and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The Karna name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Metafic. You may not use such marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Service or its content, other than the limited right to use the Service in accordance with these Terms.

7. User Data & Content

You retain full ownership of all data, content, and materials that you upload, submit, or create through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service.

We will not sell, share, or distribute your User Content to third parties except as necessary to provide the Service or as required by law. You are solely responsible for the User Content you create and share within the Service.

We may use anonymized and aggregated data derived from your use of the Service for analytics, benchmarking, and product improvement purposes. Such data will not identify you or your organization.

8. Payment Terms

Karna is offered at a price of $3 per user per month. All fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select at the time of subscription.

• Free trial: New workspaces are eligible for a 14-day free trial with full access to all features. No credit card is required to start a trial
• Billing cycle: After the trial period ends, you will be billed at the beginning of each billing cycle. Fees are non-refundable except where required by law
• User count: You will be charged based on the number of active users in your workspace at the time of billing. Adding users mid-cycle will result in a prorated charge
• Price changes: We may adjust pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing
• Failed payments: If a payment fails, we will attempt to collect the outstanding amount. If payment remains unsuccessful after 14 days, we may suspend access to the Service until the balance is resolved

9. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on a best-effort basis, and we may experience downtime due to maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to notify users of scheduled maintenance in advance. We are not liable for any loss or damage resulting from Service interruptions, regardless of cause.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Metafic and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

In no event shall our total liability to you for all claims arising out of or related to the Service exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

The Service, including all AI-generated content and agent actions, is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

Either party may terminate this agreement at any time. You may terminate your account by contacting us or using the account deletion feature within the Service. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, you will have a 30-day window to export your data from the Service. After this period, we may permanently delete your data from our systems. We will provide tools and documentation to facilitate data export during this window.

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
